1) AGREEMENT TO THESE TERMS AND CONDITIONS. By entering and participating in Debunk Inc.’s “SHOW US YOUR ENERGY ESSENTIALS $5000 CASH GIVEAWAY” (the “Giveaway”, “Campaign” or “Promotion”), you (the “Entrant”) hereby agree to be fully and unconditionally bound by these Terms and Conditions (the “T&C’s”), and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Debunk Inc. located at Suite 2400, 525 8 Ave SW, Calgary, Alberta T2P 1G1 Canada (the “Sponsor”), as final and binding as it relates to the content of this Promotion. The Terms and Conditions of Entry are defined within these T&C’s.
2) PROMOTION PERIOD: The Giveaway starts on April 24, 2020 at 12:00:00 [FS1] AM Mountain Daylight Time (“MDT”) and ends on May 3rd, 2020 at 11:59:59 PM MDT (the “Promotion Period”). The Giveaway will be divided into ten (10) daily entry periods (each, an “Entry Period”). An Entry Period is further defined as the twenty-four (24) hours between 12:00:00 AM MDT and 11:59:59 PM MDT of the same day. Non-winning entries will carry over to the next day’s Giveaway Entry Period. The Sponsor’s computer is the official timekeeper for this Promotion. For random drawing information see Rule #6 below.
3) ELIGIBILITY: The Giveaway is open only to legal residents of Canada (excluding the province of Quebec) who are at least 18 years of age or older at the time of entry and abides by the method of entry noted herein. Employees of Debunk Inc. and its respective parents, affiliates, subsidiaries, and advertising and promotion agencies and any other entity involved in the development or administration of this Promotion, and their immediate family members or household members are not eligible to participate in or win a prize in this Promotion (collectively, the “Promotion Entities”). The Promotion is subject to all applicable federal, provincial, municipal and local laws and regulations. Residents of Quebec are ineligible to participate in the Giveaway. Void in Quebec and where prohibited. The Promotion is not sponsored, endorsed, administered by, or associated with Facebook Inc., Instagram Inc. and Twitter Inc. or its subsidiaries or affiliates.
4) HOW TO ENTER: NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. All entry information (including an entry form where requested, a photo and required tags and hashtags as noted below) shall be collectively referred to herein as the entry (the “Entry”). The original photos submitted should clearly display your Energy Essentials that includes anything made of, relies on, or is powered by oil and gas. A list of possible items that fit the criteria available at http://www.debunk.com/energy-essentials. All Entries submitted must conform to the guidelines and content restrictions below. There are multiple ways to enter the Giveaway, as defined herein that include but not limited to via the Sponsor’s website and the Sponsor’s Social Media Platforms. To participate in the Giveaway via the Sponsor’s Social Media Platforms you must have an account with Facebook, Instagram, and/or Twitter (the “Social Media Platforms”). If you do not have an account with any of the Social Media Platforms, go to the applicable website, www.facebook.com, www.instagram.com, or www.twitter.com, and follow the instructions to create an account. Creating an account is free. Please note that you must accept and agree to comply with the terms and conditions and accept the privacy policy for the applicable Social Media Platform to create an account. If you do not agree to such terms of use and privacy notice, you cannot submit an Entry via that specific Social Media Platform. Selected Social Media Site(s) must be set to “public”; and, can be returned to “private” any time after the Giveaway has ended and all prize winners have been confirmed. Entry limitations may vary per method of entry. Usage of Facebook, Instagram and/or Twitter will/may require a mobile device and therefore you may be charged for standard data rates according to the terms and conditions in your agreement with your wireless carrier. You agree to incur any and all charges demanded by your wireless carrier. You should also check your device's features for capabilities and check the device manual for specific use instructions.
Entry and Bonus Entry Methods:
· Via the Website. Visit www.debunk.com/giveaway (the “Website”) during the Promotion Period and follow the instructions to complete the entry form and submit your photo or video showcasing your favorite Energy Essential. Once you’ve successfully submitted your Entry on the Website, the Website will unlock more ways to earn additional Entries.
· Via Facebook. To enter the Giveaway during the Promotion Period log into your Facebook account directly or via the Facebook link on the Website. Look for the special post or Facebook tab #EnergyEssentials for the Promotion at https://www.facebook.com/debunkinc and submit your photo. You can also enter by posting a photo showcasing your favorite Energy Essential along with the hashtag #EnergyEssentials and tag @debunkinc. Limit one entry per person per day.
· Via Instagram. To enter the Giveaway during the Promotion Period log into your Instagram account directly or via the Instagram link on the Website and ensure your account is set to public. Post a photo showcasing your favorite energy essential using the hashtag #EnergyEssentials and tag @debunkinc. Limit one entry per person per day.
· Via Twitter. To enter the Giveaway during the Promotion Period log into your Twitter account directly or via the Twitter link on the Website and ensure your account is set to public. Post a photo showcasing your favorite energy essential using the hashtag #EnergyEssentials and tag @debunkinc. Limit one entry per person per day.
· Refer a friend. Using the Refer a Friend feature on the Website and participating Social Media sites, Entrant will be given a unique link to share with friends. Entrant will receive one (1) Bonus Entry for each Refer a Friend that enters during the Promotion Period using their link and the hashtag #EnergyEssentials plus tag @debunkinc where required. Limit of twenty (20) entries per person per the entire Promotion Period.
· Answer a question. Answer the unique question “Why do you think energy is essential” to receive one (1) Bonus Entry. Question will be unlocked following the completion of at least one other Entry Task. Access the question form by clicking on the Website link and follow the instructions to submit your answer to the question. Limit one entry per person/email address per Entry Period.
· Additional Entry and Bonus Entry methods may be available, at Sponsor’s sole discretion, throughout the Promotion Period via other social media actions and tasks to be announced on the Sponsor’s Website and Social Media Sites.
Entry Guidelines and Content Restrictions
· The Entry must not feature brand names, logos or trademarks of others, with the exception of the Sponsor.
· The Entry must not include any private information such as a name, address, phone number or email address;
· The photo posted as part of the Entry may include the Entrant and if the photo also includes any other individual person, the Entrant must have obtained prior to submitting their Entry written consent, release and permission of each and every identifiable individual person in the Photo to use that person’s name or likeness in the Entry and in the manner contemplated by Sponsor. If an individual is a minor (other than the entrant’s child(ren), the Entrant must obtain written consent (as noted above) from the minor’s parent or legal guardian.
· The Entry must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, copyright, trademark or other intellectual property rights;
· The Entry must not disparage or embarrass Sponsor, their owners and employees, or any other person or party affiliated with the Promotion and administration of this Giveaway;
· The Entry must not contain material that is inappropriate, indecent, obscene hateful, tortious, defamatory, slanderous or libelous;
· The Entry must not contain any materials relating to lotteries, gambling, tobacco, alcohol or drugs, pornography, adult-oriented content or any other sexually explicit material;
· The Entry must not contain anything that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
· The Entry must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Entry is created.
· All eligible Entries submitted will not be judged. Winners will be selected via daily random drawings as detailed in Rule #6.
· After review of all submitted Entries the Sponsor in their sole discretion will determine if an Entry has met all of the Content Guidelines detailed above and therefore eligible to be entered and receive an Entry and/or Bonus Entry. All eligible and approved Photos will be featured on the Sponsor’s photo gallery on their website www.debunk.com/giveaway and/or Sponsor’s Facebook page https://www.facebook.com/debunkinc.
· If the Sponsor determines that the content of the Entry does not comply with the Guidelines and Content Restrictions, the Entry will not be eligible for any prize consideration and may be withdrawn without notice from the Giveaway at any time at the sole discretion of the Sponsor.
5) WARRANTY: By submitting an Entry and performing Tasks for Bonus Entries, Entrant agrees to comply with these T&C’s. Entries that do not comply with these T&C’s and all requirements set forth herein will be disqualified. Decisions of the Sponsor are final and binding. All entries become the sole property of the Sponsor and receipt of entries will not be acknowledged. The Sponsor is not responsible for telecommunications, network, electronic, technical or computer failure or any kind of lost, late, incomplete, mutilated, invalid, unintelligible, misdirected entries, all of which will be disqualified. Only completed entries with valid email addresses or social media accounts, as applicable, are eligible. Sponsor reserves the right to verify the accuracy or truthfulness of any information contained within a submitted Entry. Sponsor has the right in its sole discretion to determine if any Entry is not appropriate for publication on the Site or for any other public release and if Entry is in compliance with these T&C’s. Sponsor reserves the right to disqualify an Entry for any reason. Subject to any requirement by a regulatory authority, the Sponsor may, in it’s absolute discretion, not accept or disqualify a particular entry, or cancel the entire Promotion at any time without giving reasons and without liability to any entrants, at which time a winner will be selected from valid entries received prior to such cancellation.
By participating in the Giveaway, Entrants agree to be bound by these T&C’s. Entrants irrevocably grant to Sponsor, its affiliates, agents and licensees, the royalty-free right and permission to unconditionally and perpetually reproduce, store, transmit, publish, display, use or reuse your name, post/photo and prize information, as well as any other information or materials arising out of your participation in the Giveaway for advertising, promotional, commercial, publicity and/or any other purposes (without limitation), in any and all media now or hereafter known, in any language, throughout the world, in perpetuity and in any manner without further review, notice, approval, consideration or compensation of Entrant. By participating, Entrants further release Sponsor from any future claims arising out of any use or disclosure of Entrants participation consistent with these T&C’s. By participating, Entrants acknowledge and agree that Entrants will not now or in the future be paid or compensated in any way for participation or for granting the Sponsor any of the rights set out in these T&C’s, whether chosen as a winner or not. Entrants further agree that Sponsor is not obligated to make use of any of the rights granted in these T&C’s.
The person submitting the Entry must be the authorized account holder of the email address, Facebook, Instagram or Twitter account, otherwise the Entry may be deemed void. Multiple entrants are not permitted to share the same email or Social Media Accounts. In the event of a dispute over the identity of a potential winner, the Entry will be declared made by the authorized account holder of the email address, Facebook, Instagram or Twitter account used for Entry, and potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such account. The “authorized account holder” is the natural person assigned to the applicable account by the Email provider, Facebook, Instagram or Twitter account. Proof of submission of an Entry does not constitute proof of delivery of Entry. Multiple accounts may not be used, and anyone found to use multiple accounts to enter will be deemed ineligible.
6) RANDOM DRAWING: Each day starting on April 25th, 2020 through and including May 4th, 2020, a random draw will be held from all eligible Entries received to randomly select one (1) potential daily prize winner. The random drawing will be conducted by the Sponsor whose decisions on all matters pertaining to the Giveaway are final. Odds of winning a prize depend on the total number of eligible entries received during the Entry Period. Potential winners are subject to eligibility verification and compliance with these T&C’s. Limit one (1) prize per household.
7) WINNER NOTIFICATION: Potential winners will be contacted via their applicable method of entry (email, direct message, push notifications, telephone, etc.) within three (3) days after potential winners have been selected. The required response to such notification (e.g., full name, mailing address, email address, etc.) or email must be received within three (3) business days from the time initial direct message or email was sent or potential winner will be disqualified, and an alternate potential winner will be selected. Sponsor assumes no responsibility for undeliverable email or undeliverable direct messages resulting from any form of active or passive filtering by applicable Social Media Site(s), for insufficient space in user’s account to receive direct messages, or for applicable Social Media Site not being set to public. Potential winner’s failure to receive notices due to spam, junk e-mail or other security settings or for potential winner’s provision of incorrect or otherwise non-functioning contact information.
The potential winners may be required to sign and return to Sponsor a prize acceptance form including (where lawful) a publicity release for receipt by Sponsor by the due date indicated in the notification correspondence. Potential winners will also be required to correctly answer a mathematical skill question administered online/by mail/via telephone, at the Sponsor’s sole discretion, prior to the awarding of a prize. If any required documents are not returned within the number of days specified in the notification correspondence, or if any notification is returned as undeliverable, then the prize may be forfeited and an alternate potential winner may be selected at the Sponsor’s sole discretion, time permitting. Only two (2) random drawings to select alternate winners (if necessary) will be conducted, after which, the applicable prize will remain un-awarded.
8) PRIZES AND PRIZE RESTRICTIONS: A total of ten (10) Prizes will be awarded. Each confirmed winner will receive $500 awarded in the form of an e-transfer, a check, or money order. Method of fulfilling the prize is at Sponsor’s sole discretion. E-transfers will require winner to have access to online banking. If unavailable, Prize will be paid via check or money order. Total value of all Daily Prizes awarded is $5,000. Prizes will be fulfilled within 2 to 3 weeks after verification. Restrictions may apply. All federal, provincial, and other tax liabilities arising from this Giveaway are the sole responsibility of each respective prize winner. No more than the stated number of prizes will be awarded. No substitutions or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, except as otherwise provided herein if the advertised prize becomes unavailable. Prize may not be sold, bartered or exchanged by winner. Sponsor is not responsible for loss of a prize after it has been delivered to a confirmed winner. All details of prize not specified herein shall be determined solely by Sponsor. Sponsor will not enter into any correspondence with non-winning entrants. Theses T&C’s prevail should there be any conflict or uncertainty relating to the promotion based on information or advice provided by any of the Promotion Entities. Receipt by Winner of the prize offered in this Giveaway is conditioned upon compliance with any and all federal, provincial and local laws and regulations. ANY VIOLATION OF THESE TERMS AND CONDITIONS BY WINNER (AT SPONSOR‘S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE GIVEAWAY AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
9) CONDUCT: By entering into this Promotion and/or receiving a prize, Entrants and the prize winners agree to be bound by these T&C’s and waive any rights to claim ambiguity in the Promotion or these T&C’s. These T&C’s are accessible at www.debunk.com/giveaway throughout the Promotion Period. Failure to comply with these T&C’s will result in disqualification. The Sponsor reserves the right, at its sole discretion, to disqualify any individual: (a) suspected of tampering with the Entry process or the operation of the Promotion; (b) to be acting in any manner deemed by the Sponsor to be in violation of the T&C’s; (c) to be acting in any manner deemed by the Sponsor to constitute unsportsmanlike or disruptive behavior, or with intent to annoy, abuse, threaten or harass any other person, (d) has submitted multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Campaign rules; or utilized the use of bots, macros, scripts, or other technical means for entering. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
10) LIMITATIONS OF LIABILITY: The Sponsor and the Promotion Entities (collectively, the “Released Entities”), Facebook, Instagram and Twitter assume no responsibility or liability for (a) any incorrect or inaccurate Entry information, or for any lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of Entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of the Internet or any combination thereof; or (e) any injury or damage to the participant’s or to any other person's computer/mobile device which may be related to or resulting from any attempt to participate in the Promotion or download any materials from the Promotion. If, for any reason, the Promotion is not able to run through completion for reasons which may include, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, including any other factors beyond Sponsor’s reasonable control such as a Force Majeure (e.g., war, riots, terrorism, civil unrest, strikes, blackouts, supply shortages, order of governmental authority,) an “act of God” (e.g., natural disasters, weather, etc.) or an unforeseeable health event (e.g. pandemic or epidemic), then the Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion in whole or in part, without further liability to the Entrants or third parties. In the event this Promotion is cancelled prior to the stated end date, a notice will be posted at www.debunk.com/giveaway; and Sponsor reserves the right to award prizes from among all eligible non-suspect Entries received prior to the time of the action or event warranting such cancellation. With regard to this Promotion, the Sponsor will only contact those Entrants deemed as potential winners for purposes of winner verification and awarding of the prize.
11) ENTRANT AND WINNER RELEASES: All Entrants, as a condition of Entry into the Promotion, agree to release and hold harmless the Released Entities, Facebook, Instagram and Twitter from and against any and all liability, loss, claims, demands or actions of any kind whatsoever for injuries, damages, costs, or losses to persons or property which may be sustained in connection with: (a) submitting an Entry or otherwise participating in any aspect of the Promotion; (b) the acceptance, receipt, ownership, use or misuse of any prize awarded; (c) any typographical or other error in these T&C’s or the announcement of the offering of the prize; or (d) any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action.
12) PRIVACY: By entering the Promotion, you grant the Released Entities permission to use your personal information in accordance with Sponsor’s privacy policy located at www.debunk/privacy-policy. By participating in the Promotion, Entrants hereby acknowledge that they have read and accepted Sponsor’s privacy policy. Information collected from Entrants (such as name, postal address and email address) will not be re-used, sold or shared in any manner by the Sponsor or any third parties unless Entrant has opted-in to receive additional information and marketing or promotional material from the Sponsor or a third party.
13) GOVERNING LAW: This Promotion is conducted in English (which will be given its everyday ordinary meaning), and GOVERENED SOLELY BY THE LAWS OF CANADA (excluding the Province of Quebec). Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prizes awarded shall be resolved individually, without resorting to any form of class action, and exclusively before a court in Canada; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Promotion, but in no event attorneys' fees. Participants further waive all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these T&C’s, or the rights and obligations of the participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of Canada (excluding Quebec), without giving effect to any choice of law or conflict of law rules (whether of Canada or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than that of Canada.
14) WINNER’S LIST: The official winner’s list will be posted on the Sponsor’s website www.debunk.com/giveaway, and the Sponsor’s social media pages (Facebook, Instagram, Twitter) after all winners have been confirmed and will remain posted for 30 days thereafter.
